These Terms of Use ("Terms") govern access to and use of https://hykeychain.com/ (the "Website"), operated by Zhongshan Heyang Craft Gifts Co., Ltd. ("we", "us" or "our"). By using the Website, you agree to these Terms. If you use the Website for an organisation, you confirm that you have authority to bind that organisation.

1. Eligibility and Business Use

You must be legally capable of entering into a binding agreement. The Website is intended primarily for business and professional use relating to custom manufacturing and OEM/ODM services. You may not use the Website where doing so would violate applicable trade controls, sanctions or other laws.

2. Website Information

We aim to keep product descriptions, specifications, images, availability and other content accurate. However, colours, dimensions, performance data, packaging and specifications may vary or change. Website content does not replace technical verification, samples, agreed drawings, certifications or a written sales agreement.

3. Requests for Quotation and Orders

An RFQ, enquiry, cart submission or purchase request is an offer or request from you and is not automatically accepted. We may review quantities, specifications, production capacity, compliance requirements, destination, shipping arrangements and payment terms before acceptance. Unless expressly incorporated, your purchase-order terms do not override our written terms.

4. Pricing, Payment and Taxes

Prices, currencies, taxes, shipping costs and payment terms will be stated in the applicable quotation, pro forma invoice, sales contract or order confirmation. You are responsible for accurate billing and shipping information and for taxes, duties, customs charges or bank fees allocated to you under the agreed Incoterm or sales agreement.

5. Acceptable Use

You may not:

• Use the Website for unlawful, fraudulent or misleading purposes;
• Probe, disrupt, overload or bypass Website security;
• Upload malware or collect data using unauthorised automated methods;
• Misrepresent your identity, authority, destination or intended end use;
• Copy, reverse engineer or exploit Website content except as law expressly permits;
• Infringe intellectual property, privacy or other rights.

6. Intellectual Property

The Website, including its text, layout, graphics, product media, trademarks, catalogues and software, is owned by or licensed to us and protected by applicable laws. We grant you a limited, revocable, non-exclusive right to use the Website for legitimate internal business evaluation and purchasing. No ownership rights are transferred.

7. Materials You Submit

You retain ownership of lawful materials you submit, such as specifications, drawings and feedback. You grant us a limited right to use them to respond to your request, manufacture or source products, provide services and administer the business relationship. You confirm that you have the rights and permissions needed to provide them.

Our aggregate liability arising from the Website will not exceed USD 100. Nothing in these Terms excludes liability that cannot lawfully be excluded.

Unless a separate written agreement states otherwise, these Terms are governed by the laws applicable in People's Republic of China, without regard to conflict-of-law principles. Courts with competent jurisdiction in that location will have non-exclusive jurisdiction, subject to any mandatory consumer or statutory rights that cannot be waived.

We may update these Terms by posting a revised version with a new effective date. Continued use after the revised Terms take effect constitutes acceptance, where permitted by law.
